ROLE OVERVIEW
PRPOSE OF JOB
To provide an in-hose governance and company secretarialfnction to the JTC Grop in administering JTC plc and all its sbsidiaries.
To maintain all stattory records of the internal companies of thegrop and ths ensre that JTC plc and its sbsidiaries endorse and maintainthe accepted principles of good corporate governance, placing emphasis onensring all legal, reglatory and other necessary reqirements are compliedwith.
To play a spporting role in meeting the departmental strategic andoperational objectives set by the Grop Board.
To ensre consistent deliveryto the Grop of the highest qality of professional service and ths protectand enhance the Grop's reptation.
MAIN RESPONSIBILITIES AND DTIES
Assist with the department's sccessfl management of an extensive and varied workload, ensring a professional service is provided to "internal" (i.e. employees, directors and Grop directors) and external clients. Assist with the co-ordination of qarterly and ad-hoc board and committee meetings (both divisional and jrisdictional) to inclde preparation of the agendas and the collation and distribtion of the board packs. Attendance at relevant board/committee meetings to take mintes, record decisions and actions and to ensre that these are adeqately monitored and managed across the Grop with the assistance of the senior members of the department. Become one of the points of contact between the Board of Directors and Grop shareholders. Maintenance of the wider corporate governance and stattory records for the committees and boards within the Grop. Liaison with the relevant Companies Registries to ensre that filings and payments of fees are kept p to date and that the companies remain in good standing. Provide contribtion to meeting discssions, as and when reqired. Awareness and adherence to contractal and stattory obligations nder the Grop's policies, procedres and gidelines, inclding the Grop's core vales and expected behaviors. Liaising with external reglators and advisers, sch as lawyers and aditors as reqired. Assist with projects inclding, bt not limited to, share isses, mergers and acqisitions. Provide any other dties as defined or deemed necessary by Management and/or the Grop Holdings Board. Assist with the prodction, where necessary, of relevant policies and procedres. Adhere to Risk & Compliance procedres in relation to reglatory reqirements and AML legislation. Adhere to JTC core vales and expected behaviors. Any other dties as deemed necessary by Management. ESSENTIAL REQIREMENTS Stdying towards a relevant professional qalification e.g. Chartered Governance Institte. Minimm 3 years' experience in a governance or trst and company administration role. Appropriate level of technical knowledge of corporate governance matters. Excellent Minte Writing Skills. Strong team player. Excellent commnication skills both verbal and written.
